US MSB Licence Cost in 2026: FinCEN Registration, State Licences and Compliance Budget

US MSB Licence Cost in 2026: FinCEN Registration, State Licences and Compliance Budget

At a glance

1. FinCEN does not charge a fee to register a money services business. Registration is completed through Form 107 and generally must be renewed every two years. The federal filing is only one part of the launch cost. [1, 2]

2. A business that transmits money may also need state money transmitter licences. Each state determines its own perimeter, application fee, financial requirements, surety bond, reporting and renewal rules. FinCEN registration does not grant nationwide state authority. [3, 4]

3. NMLS currently charges a $120 company processing fee for each state agency and licence application, in addition to the regulator's own fee. California currently charges a $5,000 money transmitter application fee. New York currently charges $5,000 for a BitLicense application. [5, 6, 7]

4. The largest launch costs usually come from legal classification, licence applications, audited financial statements, net worth and permissible-investment requirements, surety bonds, compliance personnel, transaction monitoring, independent testing and banking readiness.

5. A state-by-state launch should begin with a customer and transaction map. The company should apply where its activities create a licensing requirement and stage expansion around the states that matter commercially.

“How much does a US MSB licence cost?” has no single answer because the phrase combines two regulatory layers. FinCEN administers federal registration and Bank Secrecy Act obligations. State regulators separately license money transmission and certain virtual-currency activities.

A company that budgets only for incorporation and Form 107 can reach the registry without being ready to serve customers. A useful budget starts with the product, the location of customers, the movement of money or cryptoassets, the states included at launch and the operational controls required from the first transaction.

1. Separate federal MSB registration from state licensing

FinCEN registration identifies a business as an MSB for federal Bank Secrecy Act purposes. FinCEN states that registration is free, activity-based and a first step in the compliance framework. An MSB becomes subject to federal requirements because of the activities it performs. [1]

Money transmission is one MSB category. FinCEN applies the definition regardless of transaction amount. Currency exchange, check cashing and certain other categories generally use a $1,000-per-person-per-day threshold. Administrators and exchangers of convertible virtual currency can qualify as money transmitters when they accept and transmit value, subject to the facts and available limitations or exemptions. [2, 8]

State licensing answers a different question: whether the company may conduct money transmission or regulated virtual-currency activity involving a state's residents or within that state's jurisdiction. The NMLS platform centralises submissions for participating regulators, while each authority retains its licensing power and state-specific requirements.

LayerWhat it coversMain cost drivers
FinCEN MSB registrationFederal registration under the Bank Secrecy Act and identification of the MSB's activities, ownership, locations and agents. No Form 107 registration fee; classification, documentation and filing support may create professional costs.
Federal BSA complianceRisk-based AML program, compliance officer, training, independent review, reporting and recordkeeping.People, policies, KYC/KYB, sanctions controls, transaction monitoring, case management, reporting and testing.
State money transmitter licensingAuthority to conduct covered money transmission in the relevant state.State and NMLS fees, background checks, audited accounts, net worth, surety bond, permissible investments, reporting and examination.
State virtual-currency licensingSeparate or additional authority where a state regulates virtual-currency business activity.Application documentation, cybersecurity, custody, capital, compliance, examinations and annual assessments.
Banking and payment infrastructureOperating accounts, safeguarding or settlement arrangements, acquiring, fiat rails and liquidity.Due diligence, reserves, minimum balances, integration, enhanced monitoring and ongoing account fees.

The layers can apply together. A crypto exchange may be a federally registered MSB, hold money transmitter licences in several states and require a New York virtual-currency authorisation before serving New York customers. A registration entry alone does not resolve the state perimeter.

2. What does FinCEN MSB registration cost?

FinCEN states that there is no cost for MSB registration. The owner or controlling person files Form 107 through the BSA E-Filing System. Most MSBs must file within 180 days after establishment and renew registration every two years. Supporting records must be retained in the United States for five years. [1, 9]

The filing fee is therefore zero. The work surrounding the filing has a cost:

  • determining whether the activities fall within one or more MSB categories;
  • documenting ownership, control, branches, agents and expected business volume;
  • forming the entity and obtaining tax and corporate records where a new company is used;
  • designating a US-resident agent for service of legal process for a foreign-located MSB;
  • building the AML program and operational controls that match the live product;
  • retaining the filing and supporting documents at the reported US location; and
  • maintaining the renewal and re-registration calendar.

Foreign-located companies can fall within the rules when they conduct covered MSB activity in the United States, even without a US branch or office. FinCEN requires a foreign-located MSB to appoint a US-resident agent for service of legal process. A US company is therefore not universally required for federal MSB status, although entity, banking, tax, contracting and state licensing considerations may make one useful. [10]

3. The AML program is the first material operating cost

Every covered MSB needs an effective written AML program tailored to its risks. FinCEN and the IRS identify four minimum elements: internal controls, a designated person responsible for day-to-day compliance, training and independent review. A policy template without operational implementation does not satisfy the standard. [2, 11]

Compliance componentWhat the budget must coverEvidence expected in operation
Risk assessment and AML programProduct, customer, geography, channel, counterparty and transaction-risk analysis.Approved risk assessment, policies, risk appetite, escalation rules and version control.
Compliance officerA person with authority, time and access to data; external support where appropriate.Role description, reporting line, board access, decisions and management information.
Customer controlsIdentity and business verification, beneficial ownership, sanctions screening and enhanced due diligence.Onboarding records, risk ratings, screening results, reviews and documented exceptions.
Transaction monitoringRules or analytics, alerts, investigation workflow, blockchain analytics where relevant and regulatory reporting.Scenario rationale, alert history, cases, SAR decisions, tuning and quality assurance.
TrainingRole-specific initial and refresher training.Materials, attendance, assessments and remediation.
Independent reviewTesting by a qualified person who is independent of the function being reviewed.Scope, samples, findings, management responses and closed remediation.
Recordkeeping and reportingSAR, CTR, funds-transfer and other applicable records and electronic filing capability.Complete records, retention controls, reporting logs and auditable decisions.

Software cost depends on customer count, transaction volume, countries, fiat and digital-asset coverage, screening frequency and investigation workflow. The lowest-priced tool can become expensive when it produces excessive alerts or lacks data needed for examinations and bank due diligence. The operating model should be designed before selecting vendors.

4. When are state money transmitter licences required?

State licensing analysis follows the actual service and its connection to each state. Relevant facts include where customers reside, where funds are received, who controls the funds, who instructs the transfer, whether the company acts as an authorised delegate and whether fiat or virtual currency is involved.

The CSBS model Money Transmission Modernization Act states the general rule that a person may not engage in money transmission or hold itself out as doing so without a licence, subject to authorised-delegate and statutory exemptions. States have adopted and adapted the model at different times, so the final answer comes from the law and regulator guidance in each target state. [4]

Forming the company in Montana or another state does not create a nationwide exemption. A company incorporated in one state can still trigger licensing in other states through services offered to their residents. The launch map should therefore follow customer coverage and transaction flows rather than the entity's registered address alone.

For a business using a licensed principal or sponsor, an authorised-delegate model may change the licensing analysis. The contract, customer disclosures, flow of funds, control of the service and the principal's supervision must support that model. Calling a commercial partner a “sponsor” does not establish the exemption.

5. What state licensing costs should be included?

NMLS currently charges a $120 initial company processing fee per agency and per licence for state applications. The same $120 processing fee applies annually when a company submits a renewal in a participating state. These platform fees sit alongside each regulator's application, investigation, licence and renewal charges. [5]

State requirements can also include criminal background and credit checks for control persons, fingerprints, audited financial statements, a minimum net worth, a surety bond, permissible investments equal to outstanding transmission obligations, registered agents, cybersecurity documentation and examination costs.

Cost itemHow it is calculatedWhy it varies
State application feeFixed fee set by each regulator, sometimes combined with investigation or licence fees.Every state uses its own statute, schedule and licence type.
NMLS processingCurrently $120 per agency and licence for a company application and $120 for annual renewal.Additional branch, individual, background-check and payment fees may apply.
Surety bondThe required bond amount follows state law; the company pays an annual premium quoted by the surety.Premium depends on bond amount, financial strength, ownership, credit and underwriting risk.
Net worthCapital retained in the business at or above the state minimum. Some states use a fixed floor; others scale requirements by activity or outstanding obligations.
Permissible investmentsEligible liquid assets maintained against customer obligations.Volume, settlement timing, asset mix and each state's eligible-asset rules change the amount.
Professional preparationLegal analysis, application drafting, financial models, policies and responses to regulators.Complex ownership, crypto activity, incomplete records and broad state coverage increase work.
Ongoing supervisionRenewals, NMLS updates, call reports, audits, examinations and regulatory assessments.Requirements differ by state and grow with volume, agents, products and changes of control.

Two published figures show why a single “MSB licence fee” is misleading. California currently charges a non-refundable $5,000 application fee for a new money transmitter licence. New York currently charges $5,000 for a BitLicense application, and licensed virtual-currency businesses also pay supervisory assessments. These amounts exclude NMLS charges, advisers, bonds, capital and operating compliance. [6, 7, 12]

6. Crypto businesses need a separate New York analysis

New York requires a BitLicense for specified virtual-currency business activity involving New York or New York residents. The regulated activities include receiving virtual currency for transmission, custody or control for others, customer-facing buying and selling, exchange services and controlling, administering or issuing virtual currency. [12]

A crypto company may therefore face several concurrent questions:

  • Does the activity make it a money transmitter under FinCEN rules?
  • Which state money transmitter laws cover the fiat or crypto flow?
  • Does New York virtual-currency regulation apply?
  • Is another licence required for securities, commodities, lending or banking activity?

FinCEN's 2019 guidance explains how federal money-transmitter rules apply to wallets, exchanges, trading platforms, payment processors, decentralised applications, kiosks and other convertible-virtual-currency models. Product labels do not decide the outcome; accepting and transmitting value, control and the role performed for customers are central. [8]

7. How long does a US MSB and state licensing project take?

Form 107 must generally be filed within the federal 180-day deadline, but the deadline should not be used as a product-launch plan. The AML program and reporting controls need to operate when covered activity begins. State money transmitter activity should not begin in a state before the required authority or a valid exemption is in place.

State timing depends on application completeness, ownership complexity, financial evidence, background checks, bond placement, business-model questions and regulator workload. New York expressly warns that a BitLicense application is not ready for substantive review until all required information, documents and fees are received and facially adequate. [12]

Project stageWork to completeCommon cause of delay
Perimeter and state mapServices, customer locations, fund flows, crypto control, exemptions and launch states.Marketing description differs from contracts or technical flow.
Corporate readinessOwnership, control persons, entity records, tax identifiers and financial statements.Layered ownership or missing source-of-funds and background records.
Compliance designRisk assessment, AML program, compliance officer, systems, training and testing plan.Generic documents that do not match transaction data and alert handling.
Federal registrationBSA E-Filing access, Form 107, US record location and agent information where applicable.Incorrect activity classification, ownership data or agent records.
State applicationsMU1, control-person records, state checklists, fees, bonds and supporting documents.Submitting many states before the common application file is complete.
Operational launchBanking, settlement, vendors, customer terms, reporting, complaint handling and regulatory calendar.Bank or vendor due diligence exposes a different business model.

Multistate initiatives can reduce duplicate work. The Multistate MSB Licensing Agreement allows a lead state to review common elements for participating states, after which each state reviews its own requirements. NMLS and coordinated examinations improve process consistency, while the licences remain state authorities. [13]

8. Build the budget from three launch scenarios

A practical budget uses scenarios instead of one headline price.

Scenario A: federal MSB obligations with no state licence trigger

This scenario requires a defensible legal basis for the absence of state licensing. The budget covers classification, entity and tax setup where required, Form 107, the AML program, compliance personnel, systems, training, independent review, reporting, records and banking. It is suitable only when the actual customer and transaction model supports the conclusion.

Scenario B: focused state launch

The company selects a limited group of commercially important states. Add state and NMLS fees, control-person checks, application preparation, surety bonds, financial evidence, net worth and permissible investments. This approach allows the compliance team and treasury model to mature before broader expansion.

Scenario C: broad multistate coverage

The budget must support simultaneous or phased applications, licence maintenance, state reporting, bonds, examinations, regulatory change and a stronger finance and compliance function. The constraint may be locked capital or permissible investments rather than filing fees.

For each scenario, calculate the first-year cost and annual run rate separately. First-year costs include setup, applications and system implementation. The run rate includes people, technology, bonds, renewals, reporting, audits, examinations, registered agents and regulatory change.

9. A cost model founders can use

Build the model in six schedules:

  1. Regulatory scope: each activity, customer state, licence, exemption and responsible entity.
  2. Application fees: NMLS charges, state fees, background checks, fingerprints and regulator-specific payments.
  3. Financial resources: net worth, surety bond amount, bond premium, permissible investments and liquidity buffer.
  4. Compliance operations: headcount, external advisers, screening, monitoring, blockchain analytics, case management, training and independent review.
  5. Infrastructure: bank accounts, payment rails, custody, reconciliation, reporting data and customer support.
  6. Maintenance: renewals, call reports, examinations, policy updates, licence changes and product expansion.

The model should link volume assumptions to compliance work. More customers and transactions increase monitoring, investigations, SAR decisions, support, reconciliation and regulatory reporting. Adding countries or cryptoassets can increase sanctions, blockchain and source-of-funds work even before revenue scales.

10. Expensive mistakes to avoid

  • Marketing a FinCEN registry entry as nationwide permission to transmit money.
  • Choosing the incorporation state before mapping customer states and transaction flows.
  • Assuming a Montana entity removes licensing requirements created by activity in other states.
  • Filing Form 107 before the company can operate the AML program described internally.
  • Using generic policies that omit the actual fiat, stablecoin, wallet, exchange or agent model.
  • Applying in many states with incomplete ownership, financial and control-person records.
  • Budgeting the face amount of a surety bond as an expense, or budgeting only the premium and ignoring collateral requirements.
  • Leaving permissible investments and customer-funds liquidity outside the financial model.
  • Waiting for licensing to finish before starting bank and payment-partner due diligence.
  • Launching a new product, state or customer segment without updating the regulatory map.

The cheapest sequence is usually the clearest one: classify the product, choose launch states, prove the compliance and treasury design, complete the common application file, then expand coverage.

US MSB launch cost checklist

  1. Map every fiat and crypto flow from customer instruction to final settlement.
  2. Identify the federal MSB category or limitation for each service.
  3. List customer states and confirm the licence, exemption or authorised-delegate basis.
  4. Check whether New York virtual-currency rules apply.
  5. Build a state fee and NMLS fee schedule.
  6. Model net worth, surety bonds, collateral and permissible investments.
  7. Cost the AML team, systems, training and independent review.
  8. Prepare ownership, control-person, financial and background records.
  9. Align applications with customer terms, product screens, vendors and banking materials.
  10. Separate first-year implementation cost from the annual compliance run rate.

Frequently asked questions

How much is the FinCEN MSB registration fee?

FinCEN states that MSB registration has no fee. Companies still incur costs for classification, preparation, corporate setup where needed and the compliance framework required to operate. [1]

Does FinCEN registration allow an MSB to operate in every state?

No. FinCEN registration covers the federal Bank Secrecy Act layer. State money transmitter and virtual-currency licensing requirements must be assessed separately for each customer and operating model.

How much does a state money transmitter licence cost?

There is no national price. The cost can include the state's application and investigation fees, NMLS processing, background checks, financial statements, a surety bond, net worth, permissible investments, advisers and annual supervision. California currently publishes a $5,000 application fee for a new money transmitter licence. [6]

What does NMLS charge for an MSB company application?

NMLS currently lists a $120 company initial processing fee per agency and licence for state licensing. It also lists a $120 annual company processing fee for renewal. State fees are additional. [5]

Does incorporating in Montana avoid money transmitter licences?

Montana does not itself issue a general money transmitter licence, but incorporation there does not exempt a company from laws triggered by money transmission involving residents of other states. The product, customer location, flow of funds and exemptions determine the state map.

Does a crypto exchange need a BitLicense?

A business engaging in specified virtual-currency activity involving New York or New York residents may need a BitLicense or another New York authorisation. Covered activities include transmission, custody, customer exchange and certain issuance activities. [12]

How often must FinCEN MSB registration be renewed?

Registration generally must be renewed every two years. Certain ownership changes or a substantial increase in agents can trigger re-registration before the normal renewal date. [9]

Can a foreign company register as a US MSB?

A foreign-located company can qualify as an MSB when it conducts covered activity in the United States. It must designate a person residing in the United States as agent for service of legal process and meet the applicable registration and BSA obligations. [10]
